Terms and Conditions

I. Preamble and Legal Scope

1.1 This Agreement constitutes a legally binding contract between Grafez ("the Agency") and the individual or legal entity ("the Client") engaging our services. By accessing grafez.com or accepting a proposal, the Client warrants they have the legal authority to enter into this contract. 1.2 These Terms supersede all previous representations or agreements. No variation of these Terms shall be valid unless agreed upon in writing by an authorized representative of Grafez.

II. Intellectual Property & Ownership

2.1 Agency Ownership: All preliminary concepts, source files, design iterations, and rejected drafts created during the project lifecycle remain the exclusive intellectual property of Grafez. 2.2 Transfer of Rights: Full legal title and ownership of the Final Deliverables shall only transfer to the Client upon receipt of 100% of the total project fee in cleared funds. Failure to pay any portion of the fee results in an immediate and automatic revocation of any license to use the work. 2.3 Proprietary Tools: Grafez utilizes proprietary frameworks, code libraries, and design systems ("Agency Tools"). The Client is granted a non-exclusive, non-transferable license to use these tools only as they are integrated into the final deliverable. 2.4 Portfolio Rights: Grafez reserves the perpetual, royalty-free right to display the Client's project, name, and logo in the Agency’s portfolio, case studies, and marketing materials, across all digital and physical platforms.

III. Client Responsibilities and Content

3.1 Accuracy: The Client is solely responsible for the accuracy of the data and content provided to the Agency. 3.2 Indemnification: The Client shall defend and hold Grafez harmless against any legal action arising from the content provided by the Client (e.g., unlicensed images or copyrighted text). 3.3 Feedback Deadlines: The Client agrees to provide feedback within three (3) business days of receiving a project draft. Delays in feedback will result in an automatic extension of the project timeline.

IV. Limitation of Liability

4.1 Maximum Liability: To the fullest extent permitted by law, Grafez’s total liability for any claim shall not exceed the total amount paid by the Client for the specific service milestone in dispute. 4.2 No Guarantee of Results: While Grafez employs conversion-focused strategies, we do not guarantee specific sales, SEO rankings, or ROI, as these are subject to external market forces and third-party platform algorithms.
